1. Agreement to Terms
Welcome to 3Wall. These Terms of Service ("Terms") govern your access to and use of the 3Wall platform, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
3Wall is a construction management platform that enables:
- Project owners (primarily in the diaspora) to remotely manage construction projects in Ghana
- Connection between project owners and verified contractors
- Secure escrow payment processing for construction milestones
- Daily progress updates with photo/video documentation
- Video conferencing between project stakeholders
- Quote requests and contractor bidding
3. User Accounts
3.1 Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Types
Our platform supports different user roles with specific responsibilities:
- Project Owners: Individuals funding and overseeing construction projects
- Contractors: Licensed construction professionals offering services
- Local Managers: On-site representatives monitoring projects
3.3 Contractor Verification
Contractors must complete our verification process, including identity verification and submission of relevant credentials. Verification status is displayed on contractor profiles but does not constitute an endorsement or guarantee of work quality.
4. Escrow and Payment Terms
4.1 Escrow Service
3Wall provides an escrow service to protect both project owners and contractors:
- Project owners deposit funds into an escrow wallet
- Funds are held securely until milestone completion is verified
- Payments are released upon owner approval of completed milestones
- Disputed payments are held pending resolution
4.2 Payment Processing
All payments are processed through Stripe. By using our payment services, you agree to Stripe's terms of service. We accept major credit cards and selected payment methods.
4.3 Fees
3Wall charges the following fees:
- Platform fee: A percentage of each transaction (disclosed at checkout)
- Payment processing fees: Standard Stripe fees apply
- Additional services: As specified for premium features
All fees are non-refundable except as required by law or stated in our refund policy.
5. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Provide false, misleading, or fraudulent information
- Impersonate any person or entity
- Harass, abuse, or threaten other users
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other accounts or systems
- Use the Service for money laundering or illegal financial activities
- Circumvent or disable security features
- Scrape, copy, or harvest data from the platform without permission
- Use the platform to conduct business outside of 3Wall to avoid fees
6. Project and Contractor Obligations
6.1 Project Owner Responsibilities
- Provide accurate project specifications and requirements
- Fund escrow wallet adequately before milestone work begins
- Review and respond to milestone completion requests promptly
- Communicate respectfully with contractors and other stakeholders
6.2 Contractor Responsibilities
- Maintain valid licenses and permits required for construction work
- Provide accurate quotes and timelines
- Submit regular progress updates with documentation
- Complete work according to agreed specifications and standards
- Comply with all applicable building codes and safety regulations
- Maintain appropriate insurance coverage
7. Intellectual Property
7.1 Platform Content
The Service, including its design, features, and content (excluding user-generated content), is owned by 3Wall and protected by copyright, trademark, and other intellectual property laws.
7.2 User Content
You retain ownership of content you submit (photos, documents, messages). By submitting content, you grant 3Wall a non-exclusive, worldwide, royalty-free license to use, display, and store your content as necessary to provide the Service.
7.3 House Plans
House plans available on our platform are licensed for use in connection with projects managed through 3Wall. Architectural designs remain the property of their respective creators.
8. Disputes and Resolution
8.1 Project Disputes
If disputes arise between project owners and contractors:
- Users should first attempt to resolve disputes directly through the platform
- Either party may open a formal dispute through our dispute resolution process
- Escrow funds related to disputed work are held pending resolution
- 3Wall may review evidence and make determinations at our discretion
8.2 Limitation of Involvement
While 3Wall facilitates connections and payments, we are not a party to the construction contract between owners and contractors. We do not guarantee the quality of work, contractor performance, or project outcomes.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- 3Wall provides the Service "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
- Our total liability for any claims arising from your use of the Service is limited to the fees you paid to 3Wall in the 12 months preceding the claim.
- We are not responsible for construction defects, contractor negligence, project delays, or any damages resulting from work performed by contractors.
10. Indemnification
You agree to indemnify, defend, and hold harmless 3Wall, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
11.1 By You
You may terminate your account at any time by contacting us. Active projects and pending payments must be resolved before account closure.
11.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms or any applicable laws
- Engage in fraudulent or harmful conduct
- Fail to pay fees or resolve disputes
- Remain inactive for an extended period
11.3 Effect of Termination
Upon termination, your right to use the Service ends. Provisions that should survive termination (including intellectual property, limitation of liability, and indemnification) remain in effect.
12. Governing Law
These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Ghana, and you consent to the personal jurisdiction of such courts.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the platform and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and 3Wall.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Our failure to enforce any right does not waive our right to do so in the future.
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
